These Terms of Service ("Terms") govern your access to and use of the TerraNova Design Studio website (terranovadesign.com) and the design services we provide. Please read them carefully before using our website or engaging our services.

By accessing our website or instructing our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or our services.

1. Definitions

• "Company" means TerraNova Design Studio, registered in Nigeria, with studio at 4b Admiralty Way, Lekki Phase 1, Lagos 105102.
• "Client" means any individual or entity who engages the Company's services.
• "Services" means interior design, landscape design, space planning, 3D visualisation, project management and related creative services.
• "Website" means terranovadesign.com and all associated pages.

2. Website Use

You may use this website for lawful purposes only. You must not:

• Use the website in any way that breaches applicable law or regulation
• Copy, reproduce or republish any content without written permission
• Attempt to gain unauthorised access to the website or its systems
• Transmit any unsolicited commercial communications
• Use the website to transmit any harmful, offensive or illegal content

3. Design Services

All design services are provided under a separate written design agreement ("Engagement Agreement") which sets out the specific scope, fees, timeline and deliverables. These Terms of Service apply in addition to any Engagement Agreement.

4. Intellectual Property

All design concepts, drawings, specifications, 3D renders and creative works produced by TerraNova Design remain the intellectual property of the Company until full payment of all applicable fees has been received. Upon receipt of full payment, the Company grants the Client a non-exclusive licence to use the completed design for the specified project only.

The Company retains the right to use completed project photographs, renders and descriptions for portfolio, marketing and promotional purposes, unless the Client has expressly requested confidentiality in writing.

5. Fees and Payment

Design fees are set out in the Engagement Agreement. Standard payment terms are:

• 50% deposit payable upon signature of Engagement Agreement
• Remaining balance invoiced in agreed milestones as detailed in the Agreement
• All invoices are payable within 14 days of issue
• Late payments may attract interest at 2% per month

All fees are quoted exclusive of VAT (where applicable) and exclusive of third-party costs including materials, furniture, plants and contractor charges.

6. Client Responsibilities

The Client agrees to:

• Provide accurate, complete and timely information required for the project
• Grant access to the property at agreed times
• Review and provide feedback on designs within agreed timelines
• Obtain any necessary planning permissions, consents or approvals
• Make payments in accordance with the agreed schedule

7. Limitation of Liability

To the maximum extent permitted by Nigerian law, the Company's total liability to the Client in connection with any project shall not exceed the total design fees paid by the Client for that specific project.

The Company accepts no liability for delays caused by circumstances outside its control, including but not limited to: supplier delays, contractor failures, force majeure events, or the Client's failure to meet their obligations.

8. Cancellation Policy

Either party may terminate an Engagement Agreement on 30 days' written notice. In the event of cancellation:

• Fees for work completed to the cancellation date become immediately payable
• Any deposit paid is non-refundable if cancellation occurs after design work has commenced
• The Company will provide all completed design documentation to the Client upon receipt of outstanding fees

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Lagos State courts.

10. Amendments

We reserve the right to update these Terms at any time. Continued use of the website following any changes constitutes acceptance of the revised Terms. The effective date at the top of this page indicates when Terms were last updated.
